Dispute Resolution

Informal Negotiations

Before initiating any legal proceeding, you agree to first contact us at [email protected] to attempt to resolve any dispute informally. The parties agree to negotiate in good faith for at least thirty (30) days from the date the dispute is raised.

Binding Arbitration

If a dispute cannot be resolved through informal negotiations, it shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall take place in California, United States. The arbitrator’s decision shall be final and binding.

If arbitration fees are deemed excessive, we agree to pay a reasonable portion of the fees as determined by the arbitrator.

Exceptions

The following disputes are not subject to the arbitration provision: (a) disputes seeking to enforce or protect intellectual property rights; (b) disputes related to theft; and (c) claims for injunctive relief.

Litigation

If for any reason a dispute proceeds in court rather than arbitration, the dispute shall be filed in the state or federal courts located in California, United States, and you consent to the personal jurisdiction of such courts.

Limitation on Time to File Claims

Any cause of action or claim you may have arising out of or relating to these Terms or the Site must be commenced within two (2) years after the cause of action accrues. Otherwise, such cause of action or claim is permanently barred.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.

If you are a resident of the European Economic Area (EEA), United Kingdom, or Switzerland, you may also have rights under the laws of your country of residence, and nothing in these Terms limits those rights.

Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions.

Waiver

No waiver of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Our failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and Affiliate Disclosure, constitute the entire agreement between you and Lucian Park regarding your use of the Site and supersede all prior and contemporaneous agreements, proposals, or representations.
